Seqenta – Ecosystem & User Generated Content Terms

Applies to: All users of Seqenta platform features involving user-generated signals, reports, or “Flags”
1. Purpose of the Ecosystem
The Seqenta ecosystem enables users to contribute intelligence about companies through user-generated signals, observations, and reports (“Flags”). The ecosystem is designed to supplement publicly available and licensed data with real-world insights from the Seqenta community.
By participating in the ecosystem, you agree to these terms in addition to Seqenta's Terms of Service and Privacy Policy.
2. Definition of a “Flag”
A “Flag” is any user-submitted content on the Seqenta platform, including but not limited to:
- Observations about a company's operations, behaviour, or status
- Reports of positive or negative experiences
- Signals regarding financial health, risk, or performance
- Commentary or structured data submissions
Flags may be submitted through forms, structured inputs, or other submission mechanisms provided by the platform.
3. Nature of Information
Flags are user-generated content and:
- Represent the opinions, experiences, or observations of individual users
- Are not verified, endorsed, or approved by Seqenta
- Should not be treated as statements of fact
- Do not constitute financial, legal, or professional advice
Seqenta acts as an intermediary platform. The presence of a Flag on the platform does not imply that Seqenta has verified its accuracy or endorses its content.
4. Acceptable Use of the Flagging System
When submitting Flags, you agree to:
- Provide information that is truthful to the best of your knowledge
- Have a reasonable basis for any claims or observations
- Not submit content that is defamatory, malicious, or knowingly false
- Not use the system to harass, harm, or unfairly target individuals or companies
- Not submit content that infringes the intellectual property rights of others
- Not use the system for competitive sabotage or market manipulation
You acknowledge that submitting false or harmful content may expose you to legal liability under the Defamation Act 2013 or other applicable laws.
5. Compliance Review and Content Controls
Seqenta may, but is not obligated to, conduct a compliance review of submitted Flags. This review is limited to identifying content that may be:
- Unlawful or potentially defamatory
- In breach of platform policies
- Harmful, misleading, or abusive
A compliance review does not mean that Seqenta:
- Verifies the accuracy of the content
- Endorses or approves the content
- Accepts responsibility for the content
Seqenta reserves the right to:
- Remove, edit, or restrict visibility of any Flag
- Request additional information or evidence from the submitter
- Suspend or terminate accounts that misuse the system
6. Visibility and Distribution
Flags submitted to the platform may be:
- Visible to other registered users of the platform
- Included in company profiles, scores, or dashboards
- Used in alert notifications sent to other users
- Displayed in aggregated or summarised form
Seqenta may control the visibility and distribution of Flags at its sole discretion, including limiting access based on subscription tier or geographic availability.
7. Aggregation and Anonymisation
Seqenta may aggregate and anonymise Flag data and other ecosystem content. Aggregated data may be used to:
- Generate scores, benchmarks, or risk indicators
- Identify trends and patterns across industries or regions
- Create data products or commercial insights
Once aggregated and anonymised, this data is no longer personal data and may be used and shared without restriction.
8. Commercial Use of Ecosystem Data
By submitting content to the ecosystem, you grant Seqenta a worldwide, perpetual, irrevocable, royalty-free, transferable licence to use, reproduce, modify, analyse, aggregate, and commercialise such content. This includes the right to:
- Combine with other data sources
- Create derived insights and analytics
- Include in commercial data products, APIs, or reports
- Share aggregated and anonymised outputs with third parties
No personally identifiable information will be shared without your consent.
9. No Reliance
Flags and ecosystem data are provided for informational purposes only. You must not rely on Flags as the sole basis for:
- Credit, lending, or financing decisions
- Supplier due diligence or commercial engagement
- Legal, regulatory, or compliance assessments
Independent verification is always required. Seqenta accepts no liability for decisions made based on user-generated content.
10. User Accountability
You are solely responsible for the content you submit. You agree to indemnify and hold harmless Seqenta Ltd, its directors, employees, and agents from any claims, damages, or liabilities arising from your submissions, including but not limited to defamation claims, intellectual property disputes, or regulatory actions.
11. Reporting and Disputes
If you believe a Flag is inaccurate, defamatory, or in breach of these terms, you may report it through the platform's reporting mechanism or by contacting us at legal@seqenta.com.
Seqenta will:
- Acknowledge reports within a reasonable timeframe
- Review the content in question
- Take appropriate action, which may include removal, restriction, or no action
Seqenta's decision on content disputes is final, subject to any applicable legal requirements.
12. Enforcement
Violations of these terms may result in:
- Removal of submitted Flags
- Temporary or permanent suspension of flagging privileges
- Account suspension or termination
- Referral to legal authorities where appropriate
Seqenta reserves the right to take enforcement action at its sole discretion.
13. Relationship to Terms of Service
These Ecosystem & User Generated Content Terms form part of, and are supplementary to, Seqenta's Terms of Service. In the event of a conflict between these terms and the Terms of Service, the Terms of Service shall prevail unless these terms expressly state otherwise.
