Seqenta – Terms of Service

1. Acceptance of Terms

By accessing or using Seqenta's platform and services (the “Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you must not use the Services.

These Terms should be read together with Seqenta’s Privacy Policy, Cookie & Browser Storage Policy and, where applicable to your use of the Services, the Ecosystem & User-Generated Content Terms, each of which is incorporated into these Terms by reference.

2. Description of Services and Definitions

Seqenta provides an event-driven company intelligence platform that enables businesses and authorised individuals to monitor companies through aggregated data, Events, Insights, alerts, scores, Exposure Guidance and user-contributed content.

For the purposes of these Terms:

“Customer” means the company, organisation or other legal entity that enters into a Subscription with Seqenta or otherwise agrees to these Terms for access to the Services.

“Authorised User” means an individual who is authorised by the Customer to access and use the Services under the Customer’s Subscription.

“User” or “Users” means, as applicable, the Customer and/or an Authorised User using the Services.

The Customer is responsible for ensuring that its Authorised Users comply with these Terms and is responsible for all activity carried out through its account, subject to applicable law.

Where an Authorised User accesses or uses the Services on behalf of a Customer, the Authorised User represents and warrants that they are authorised by the Customer to access and use the Services. Where the Authorised User accepts these Terms on behalf of the Customer, the Authorised User further represents and warrants that they have authority to bind the Customer to these Terms.

The Services may include:

  • Company monitoring and tracking;
  • Events, alerts and notifications;
  • Financial scores and analytical indicators;
  • Exposure Guidance;
  • AI-assisted summaries and analytical outputs;
  • Portfolio management tools;
  • User-generated content (“Flags”); and
  • Third-party products, services, integrations and introductions.

Seqenta may modify, enhance, suspend or discontinue any part of the Services from time to time.

3. Account Registration and Security

3.1 Customer Registration and Account Security

To use the Services, the Customer must:

  • Provide accurate and complete information;
  • Maintain the confidentiality of its login credentials; and
  • Comply with any applicable security requirements (including multi-factor authentication where required).

The Customer is responsible for all activity conducted under its account.

3.2 Authorised Users and Use on Behalf of the Customer

The Customer may permit Authorised Users to access and use the Services on its behalf, subject to these Terms and any applicable Subscription restrictions.

By authorising an individual to access or use the Services, the Customer authorises that individual to use the Services on the Customer’s behalf within the permissions and functionality made available to that Authorised User.

The Customer is responsible for the acts and omissions of its Authorised Users in connection with the Services, including the submission of Flags and other user-generated content, subject to applicable law and the Terms of Service.

Where an Authorised User is required to acknowledge additional terms, policies or conditions applicable to a particular feature or functionality of the Services, including the Ecosystem & User-Generated Content Terms, the Authorised User’s acknowledgement and use of that functionality shall be deemed to be made on behalf of the Customer and shall not require separate acknowledgement or approval by the Customer for each individual use.

The Customer remains bound by, and responsible for compliance with, such additional terms in respect of its Authorised Users’ use of the relevant functionality.

An Authorised User must not use the Services on behalf of a Customer unless they are authorised by that Customer to do so. Seqenta may rely on an individual’s representation that they are authorised to act on behalf of the Customer unless Seqenta has actual knowledge or reasonable grounds to believe otherwise.

4. Subscription, Billing and Payment

4.1 Subscription Access

Access to certain features of the Services is provided on a subscription basis (“Subscription”).
A Subscription commences upon successful payment of the applicable fees (“Subscription Fees”).

4.2 Billing Structure

Subscriptions are offered on either:

  • a monthly billing cycle; or
  • an annual billing cycle (which may be offered at a discounted rate).

4.3 Auto-Renewal

Customer subscriptions automatically renew at the end of each billing cycle unless cancelled prior to the renewal date. By purchasing a Subscription, you authorise Seqenta to charge Subscription Fees on a recurring basis.

4.4 Failed Payments

If payment cannot be successfully processed:

  • the Customer will retain access to the Services until the end of the current paid billing cycle; and
  • thereafter, Seqenta may suspend or terminate access without further notice.

Continued use following termination requires a new Subscription, which may be subject to revised pricing or terms.

4.5 Pricing and Price Changes

Seqenta reserves the right to modify Subscription Fees at any time.

Where pricing changes apply:

  • at least 30 days’ prior notice will be provided;
  • for monthly Subscriptions, updated pricing will apply from the next billing cycle following the notice period; and
  • for annual Subscriptions, pricing will remain fixed for the duration of the current annual term.

Any renewal will be at the prevailing Subscription Fees unless otherwise agreed.

4.6 Enterprise / Custom Agreements

Where a separate written agreement is entered into (including enterprise arrangements), that agreement shall prevail over these Terms.

4.7 Refunds

Except where required by applicable law, all Subscription Fees are non-refundable.

5. Acceptable Use

Users agree not to:

  • Use the Services for unlawful purposes;
  • Attempt to gain unauthorised access to systems or data;
  • Reverse engineer, scrape, or extract data at scale without permission;
  • Interfere with or disrupt the Services;
  • Submit false, misleading, or harmful information; or
  • Use the Services to harass, defame, or harm any person or organisation.

6. Data Sources and No Reliance

6.1 Data Sources

Seqenta aggregates data from public records, licensed providers, and third-party sources.
Seqenta does not guarantee the accuracy, completeness, or timeliness of such data.

6.2 Exposure Guidance

The Services may generate or display “Exposure Guidance”. Exposure Guidance means analytical and decision-support information generated by Seqenta concerning a company’s potential financial, credit, commercial or operational exposure, based on information and indicators available to Seqenta at the relevant time.

Exposure Guidance may be generated using Seqenta’s analytical methodologies, rules, models and other automated processing based on information obtained from multiple sources. AI-assisted technologies may be used separately within the Services to summarise certain underlying company information and events, as described in Section 10.1.

The information, data sources, methodologies and factors used to generate Exposure Guidance may vary between companies and over time depending on the availability, quality, relevance and timeliness of the underlying information. Exposure Guidance may therefore change as new information becomes available or existing information is amended, corrected or removed.

Exposure Guidance is intended to assist users in identifying companies, events or circumstances that may warrant further investigation or review. It is an analytical and decision-support output only and does not constitute:

  • a statement or verification of fact;
  • a formal credit rating or credit reference;
  • a determination of creditworthiness, solvency or ability or willingness to pay;
  • financial, investment, legal, accounting, lending, insurance or other professional advice;
  • a recommendation, endorsement or solicitation to enter into, continue, amend or terminate any commercial, financial, lending or contractual relationship; or
  • a guarantee, warranty or prediction of any particular financial, credit, operational or commercial outcome.

Exposure Guidance may contain errors, omissions, inaccuracies or inappropriate inferences, including where underlying information is incomplete, inaccurate, outdated, delayed or subsequently changed. Seqenta does not warrant that Exposure Guidance will identify all relevant risks, events or changes affecting a company, or that the absence of an adverse indicator or alert means that no relevant risk exists.

Exposure Guidance is intended to relate to the relevant company or organisation and is not intended to constitute an assessment of an individual’s personal creditworthiness, financial circumstances or suitability. Where information relating to identifiable individuals is processed as part of the Services, such information will be handled in accordance with Seqenta’s Privacy Policy and applicable data protection law.

6.3 Events, Insights and Other Analytical Outputs

The Services may generate, display or communicate Events, Insights, alerts, summaries, scores, indicators and other analytical outputs concerning companies.

An “Event” is information, notification or signal relating to an actual or reported occurrence, development, filing, announcement or other change identified by Seqenta from one or more information sources. An Event may be subject to source-data limitations, delays, errors, omissions or subsequent correction.

An “Insight” is an analytical or interpretive output generated or assisted by automated systems, statistical models, algorithms or artificial intelligence based on information available to Seqenta at the relevant time. Insights may contain company summaries, event summaries and other AI-assisted outputs and should not be treated as verified statements of fact.

Seqenta reports Events based on information obtained from one or more sources, but does not independently verify every underlying event or guarantee that the information remains accurate, complete or current.

Events, Insights, alerts, summaries, scores and other analytical outputs are provided for informational and internal business decision-support purposes only. They do not constitute financial, legal, investment, lending, insurance, accounting or other professional advice and should not be relied upon as a substitute for independent verification or appropriate due diligence.

Seqenta does not warrant that any Event, Insight, alert, summary, score, indicator or other analytical output is complete, accurate, current or free from error, or that all relevant events or developments affecting a company will be identified.

6.4 Use of Exposure Guidance and Independent Verification

Exposure Guidance is provided for informational and internal business decision-support purposes only. Users remain solely responsible for evaluating information provided through the Services and for making their own independent assessments and decisions.

Users must not rely on Exposure Guidance, or any other output from the Services, as the sole basis for a material decision concerning:

  • whether to extend, increase, reduce or withdraw credit or financing;
  • whether to establish or amend payment terms, credit limits or trading limits;
  • whether to enter into or continue a customer, supplier or other commercial relationship;
  • whether to enter into, amend or terminate a contract; or
  • any other decision where inaccurate, incomplete or delayed information could reasonably result in material financial, legal or commercial consequences.

Users should undertake appropriate independent verification, due diligence and, where appropriate, obtain professional advice before acting on Exposure Guidance or other information provided through the Services.

Seqenta does not guarantee that use of Exposure Guidance or the Services will prevent, identify or reduce any financial, credit, operational or commercial loss.

7. User-Generated Content (“Flags”)

7.1 Nature of Flags

The Services may allow users to submit observations, reports, or signals regarding companies (“Flags”). Flags:

  • represent user-generated opinions or reports;
  • are not verified statements of fact; and
  • may be moderated but are not guaranteed to be accurate.

Seqenta acts as an intermediary platform and does not endorse user-generated and submitted content.

Users acknowledge that submitted content may be processed, analysed and incorporated into aggregated or commercial data products, subject to Section 7.5 and the Privacy Policy.

7.2 User Responsibility

The Customer is solely responsible for content it submits. You agree that:

  • your submissions are truthful to the best of your knowledge;
  • you have a reasonable basis for any statements made; and
  • you will not submit defamatory, false, or misleading content.

You acknowledge that submitting unlawful content may expose you to liability under applicable law, including the Defamation Act 2013.

7.3 Compliance Review

Seqenta may, but is not obligated to, conduct compliance reviews of Flags. Such reviews:

  • do not verify accuracy;
  • do not constitute endorsement; and
  • are limited to identifying potentially unlawful or harmful content.

Seqenta reserves the right to:

  • remove or restrict content;
  • request additional information; and
  • suspend or terminate accounts.

7.4 Licence to Use Content

By submitting content, you grant Seqenta a:

  • worldwide;
  • perpetual;
  • irrevocable;
  • royalty-free; and
  • transferable licence

to use, reproduce, distribute, modify, analyse, aggregate, and commercialise such content for the purposes of providing, developing and commercialising the Services and related products. Further terms applicable to this licence, including in respect of Flags, are set out in the Ecosystem & User-Generated Content Terms.

7.5 Aggregated and Anonymised Data

Seqenta may aggregate, pseudonymise and, where appropriate, anonymise platform data and User-Generated Content for purposes including analytics, benchmarking, service improvement, product development, company intelligence and the development of aggregated insights and commercial data products.

Where information has been effectively anonymised so that an individual is no longer identifiable by reasonably available means, such information will no longer constitute personal data under applicable data protection law and may be used and disclosed by Seqenta for lawful purposes.

Where information has only been pseudonymised or remains capable of being linked to an identifiable individual, it will continue to be treated as personal data and will be processed and disclosed in accordance with Seqenta's Privacy Policy and applicable data protection law.

Seqenta will not disclose identifiable personal data except where permitted or required by applicable law, where necessary to provide the Services, where otherwise permitted under the Privacy Policy, or where the relevant individual has provided consent where consent is required.

8. Alerts and Notifications

Alerts (including SMS and email) are provided on a best-effort basis. Seqenta does not guarantee delivery, timeliness, or completeness and is not liable for delays or failures.

9. Intellectual Property

All right, title and interest in and to the Services are owned by Seqenta Ltd or its licensors. The Customer and its Authorised Users are granted a limited, non-exclusive, non-transferable licence to use the Services for internal business purposes, subject to these Terms.

10. Third-Party Services, Affiliates and Introductions

10.1 AI Infrastructure and Processing.

Seqenta may use third-party artificial intelligence, machine learning, Large Language Models (“LLMs”) and automated analysis technologies (“Third-Party AI Infrastructure”) as part of the Services. Such technologies may be used to assist with the summarisation and presentation of company information obtained from sources including news publications, Companies House filings, corporate changes and filed company financial information.

AI-assisted outputs are provided for informational and decision-support purposes only and may contain errors, omissions, inaccuracies or inappropriate interpretations. Seqenta does not guarantee that such outputs are complete, accurate or error-free.

Seqenta remains responsible for the way Third-Party AI Infrastructure is incorporated into the Services but does not control or guarantee the operation, availability, underlying models or outputs of third-party AI providers.

10.2 Independent Third-Party Services and Integrations.

Third-Party Services (collectively, "Third-Party Services") are provided or operated by their respective third-party providers. Except to the extent expressly stated otherwise, Seqenta does not control or operate those services, and their inclusion, availability or integration within the Services does not constitute an endorsement, sponsorship, approval or recommendation by Seqenta.

The Services may contain technical integrations with, or referral hyperlinks to, independent third-party platforms, applications, systems, or software utilities.

(a) Exclusion of Liability: Seqenta exercises no operational oversight, governance, or administrative control over Third-Party Services. Under no circumstances shall Seqenta be held liable or responsible for the performance, availability, downtime, security, data breaches, or operational failures of any Third-Party Service, nor for any contractual relationships, transactions, or disputes arising between the User and such third parties.

(b) Independent Terms: The User’s access to and use of any Third-Party Service may also be subject to that third party’s separate terms of use, privacy policy and commercial agreements.

10.3 Affiliate Relationships and Commercial Incentives.

Seqenta may receive commercial benefit from introductions/referrals. Seqenta may, from time to time, receive commissions, referral fees, revenue shares, or alternative commercial benefits from its affiliate relationships or the introduction of Third-Party Services. Where applicable, such relationships will be disclosed in accordance with statutory requirements. The existence of a commercial affiliate relationship does not alter, expand, or waive any of the limitations of liability, disclaimers, or risk allocations set out within these Terms.

10.4 Regulated Financial and Other Regulated Services

Where any Third-Party Service, integration, affiliate relationship, introduction, referral or commercial arrangement made available through or in connection with the Services involves banking, payments, foreign exchange, commercial lending, credit, asset finance, corporate finance, insurance, investment, pensions or any other activity subject to financial services or other sector-specific regulation (collectively, “Regulated Services”):

(a) Seqenta does not itself provide the relevant Regulated Service unless expressly stated otherwise and, unless expressly stated otherwise, is not acting as a financial adviser, insurance intermediary, credit broker, mortgage broker, lender, insurer, investment firm, payment services provider or other regulated provider in relation to that Third-Party Service;

(b) Seqenta may display, communicate information about, provide access to, facilitate introductions to, or otherwise make available Third-Party Services, including through links, integrations, referrals, embedded functionality or other commercial arrangements, subject always to applicable law and any regulatory requirements applicable to the relevant activity;

(c) where the relevant activity or communication is subject to financial services, financial promotion, consumer credit, insurance, payments or other regulatory requirements, Seqenta will only undertake or facilitate that activity to the extent permitted by applicable law and, where required, through an appropriately authorised, exempt or otherwise legally permitted arrangement;

(d) any contract, application, transaction or other arrangement entered into in connection with a Third-Party Service is between the relevant Customer or Authorised User and the relevant third-party provider, as applicable, unless expressly stated otherwise.

(e) Seqenta does not guarantee, endorse or warrant the suitability, availability, performance, financial standing, regulatory status or terms of any Third-Party Service or provider, except to the extent expressly stated by Seqenta or required by applicable law;

(f) the User is responsible for carrying out such independent evaluation, due diligence and verification of the relevant provider, product or service as the User considers appropriate, including, where applicable, verifying the provider’s regulatory status and authorisation;

(g) nothing in this Section limits or excludes any obligation or liability that cannot lawfully be limited or excluded under applicable law.

11. Confidentiality

Users agree to keep confidential any non-public information accessed through the Services.
Seqenta will take reasonable steps to protect user data in accordance with applicable law.

12. Cancellation and Termination

12.1 Cancellation by Users

You may cancel your Subscription at any time.
Cancellation takes effect at the end of the current billing cycle.

12.2 Suspension and Termination by Seqenta

Seqenta may suspend or terminate access immediately where:

  • you breach these Terms;
  • payment is not received;
  • misuse occurs; or
  • such action is necessary to protect the platform.

12.3 Termination for Convenience

Seqenta may discontinue the Services (in whole or in part) on reasonable notice.

12.4 Effect of Termination

Upon termination:

  • access ceases immediately (unless otherwise stated);
  • no refunds are payable (except where required by law); and
  • accrued rights and obligations survive.

13. Limitation of Liability

13.1 Liability Cap

To the maximum extent permitted by law, Seqenta’s total liability shall not exceed the total fees paid by the Customer in the 12 months preceding the claim.

13.2 Excluded Losses

Seqenta shall not be liable for:

  • loss of profits;
  • loss of revenue;
  • loss of business opportunity;
  • loss of data; or
  • indirect or consequential loss.

13.3 Data and Insight Risk

The Customer acknowledges that the Services may be incomplete, inaccurate, or delayed and are used at your own risk.

14. Disclaimer of Warranties

14.1 Services Provided “As Is”

The Services are provided on an “as is” and “as available” basis.
Seqenta disclaims all warranties, including:

  • merchantability;
  • fitness for a particular purpose; and
  • non-infringement.

14.2 No Reliance; Independent Evaluation

(a) Informational and Decision-Support Purpose. The Services, including Exposure Guidance, Events, Insights, scores, indicators, alerts, summaries and other analytical outputs, are provided solely for general informational, analytical and internal business decision-support purposes.

(b) No Professional Advice or Formal Assessment. Nothing in the Services constitutes or is intended to constitute:

(i) a formal credit rating, regulated credit reference or statutory creditworthiness determination;

(ii) financial, investment, legal, tax, accounting, lending, insurance or other professional advice;

(iii) a recommendation, endorsement or solicitation by Seqenta to enter into, continue, amend or terminate any commercial, financial, lending or contractual relationship with any third party; or

(iv) a guarantee, warranty or prediction of any corporate entity’s financial condition, liquidity, solvency, future operational performance, or ability or willingness to meet its financial obligations.

(c) No Recommendation or Guarantee. The Services do not constitute a recommendation, endorsement or solicitation by Seqenta to enter into, continue, amend or terminate any commercial, financial, lending, supplier, customer, investment or contractual relationship with any third party. Seqenta does not guarantee or warrant any company’s financial condition, liquidity, solvency, future performance, ability or willingness to meet its obligations, or the outcome of any decision made using the Services.

(d) Independent Evaluation. The Customer and its Authorised Users must exercise their own judgement and conduct such independent verification, due diligence and risk assessment as they consider appropriate before making any material commercial, financial, credit, lending, supplier, procurement, customer, investment or other decision based on information obtained through the Services.

(e) No Sole Reliance. The Customer and its Authorised Users must not use the Services or any output derived from them as the sole or determinative basis for any material decision. The Customer acknowledges that information and analytical outputs may be incomplete, inaccurate, out of date or delayed and that the Services should be considered alongside other relevant information and sources.

(f) Allocation of Responsibility. The Customer remains solely responsible for its decisions, actions and omissions arising from or relating to its use of the Services. Seqenta does not accept responsibility for any commercial, financial or other decision made by the Customer or its Authorised Users based on the Services, except to the extent that such liability cannot lawfully be excluded or limited.

15. Changes to Terms

Seqenta may update these Terms from time to time.
Material changes will be communicated via email or platform notification.
Continued use constitutes acceptance.

16. Governing Law

These Terms are governed by the laws of England and Wales.
The courts of England and Wales shall have exclusive jurisdiction.
