Seqenta – Terms of Service

1. Acceptance of Terms
By accessing or using Seqenta's platform and services (the “Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, you must not use the Services.
2. Description of Services
Seqenta provides an event-driven intelligence platform that enables individuals and organisations to monitor companies through aggregated data, signals, alerts, and user-contributed insights. The Services may include:
- Company monitoring and tracking
- Financial scoring and indicators
- Event notifications (email and SMS)
- AI-generated summaries
- Portfolio management tools
- User-generated intelligence (“Flags”)
We may modify, enhance, or discontinue features at any time.
3. Account Registration and Security
To use the Services, you must:
- Provide accurate and complete information
- Maintain the confidentiality of login credentials
- Comply with any security requirements (including multi-factor authentication where applicable)
You are responsible for all activity under your account.
4. Subscription, Fees and Payment
Certain features are available on a paid subscription basis. Fees, billing cycles, and terms will be provided at the point of purchase. Payments are non-refundable unless otherwise stated. We may suspend access for non-payment.
5. Acceptable Use
You agree not to:
- Use the Services for unlawful purposes
- Attempt to gain unauthorised access to systems or data
- Reverse engineer, scrape, or extract data at scale without permission
- Interfere with or disrupt the platform
- Submit false, misleading, or harmful information
- Use the Services to harass, defame, or harm any person or organisation
6. Data Sources and No Reliance
6.1 Data Sources
Seqenta aggregates data from public records, licensed providers, and third-party sources, including but not limited to corporate registries and news publications. We do not guarantee:
- Accuracy
- Completeness
- Timeliness
6.2 No Advice
The Services are provided for informational purposes only and do not constitute financial, legal, or investment advice.
6.3 No Reliance
You must not rely on the Services as the sole basis for:
- Credit decisions
- Lending or financing decisions
- Supplier or commercial engagement decisions
Independent verification is required.
7. User-Generated Content (“Flags”)
7.1 Nature of Flags
The platform may allow users to submit observations, reports, or signals regarding companies (“Flags”). Flags:
- Represent user-generated opinions or reports
- Are not verified statements of fact
- May be subject to moderation but are not guaranteed to be accurate
Seqenta acts as an intermediary platform and does not act as a publisher of user-submitted content.
7.2 User Responsibility
You are solely responsible for any content you submit. You agree that:
- Your submissions are truthful to the best of your knowledge
- You have a reasonable basis for any statements made
- You will not submit defamatory, false, or misleading content
You acknowledge that submitting false or harmful information may expose you to legal liability under the Defamation Act 2013 or other applicable laws.
7.3 Compliance Review
Seqenta may, but is not obligated to, conduct a compliance review of Flags submitted by users to assess alignment with platform policies and applicable law. This review is limited to identifying content that may be unlawful, harmful, or in breach of Seqenta's policies. Seqenta does not:
- Verify the accuracy of Flags
- Approve, endorse, or validate submitted content
The presence of a Flag on the platform indicates only that it has passed (or not been subject to) a compliance review and does not imply endorsement or verification. Seqenta reserves the right to:
- Remove or restrict visibility of Flags
- Request additional information from users
- Suspend or terminate accounts for misuse
7.4 Licence to Use Content
By submitting content, you grant Seqenta a:
- Worldwide
- Perpetual
- Irrevocable
- Royalty-free
- Transferable
licence to use, reproduce, modify, analyse, aggregate, and commercialise such content. This includes the right to:
- Combine with other data
- Create derived insights
- Use in analytics, benchmarks, and commercial products
7.5 Aggregated and Anonymised Data
Seqenta may aggregate and anonymise user-generated content and platform data. Such data may be:
- Shared with third parties
- Used in commercial offerings
- Incorporated into data products or insights
No personally identifiable information will be disclosed without consent.
8. Alerts and Notifications
Alerts (including SMS and email) are provided on a best-effort basis. We do not guarantee:
- Delivery
- Timeliness
- Completeness
Seqenta is not liable for missed or delayed alerts.
9. Intellectual Property
All rights, title, and interest in the Services, including software, content, and branding, are owned by Seqenta Ltd or its licensors. You are granted a limited, non-exclusive, non-transferable licence to use the Services for internal business purposes.
10. Third-Party Services and Affiliates
Seqenta may integrate with or refer to third-party services.

- We do not control or guarantee their performance
- Separate terms may apply
We may receive commercial benefit from affiliate relationships, which will be disclosed where required.
11. Confidentiality
You agree to keep confidential any non-public information accessed through the Services. Seqenta will take reasonable steps to protect user data in accordance with applicable law.
12. Suspension and Termination
We may suspend or terminate your access immediately if:
- You breach these Terms
- Your use creates legal or regulatory risk
- You submit harmful or unlawful content
- Payment obligations are not met
Upon termination:
- Access will cease immediately
- Certain provisions (including liability and data rights) will survive
13. Limitation of Liability
To the maximum extent permitted by law:
- Seqenta shall not be liable for indirect, incidental, or consequential damages
- This includes loss of profits, business, data, or opportunities
Total liability shall not exceed the fees paid by you in the 12 months preceding the claim.
14. Disclaimer of Warranties
The Services are provided “as is” and “as available”. We disclaim all warranties, express or implied, including:
- Merchantability
- Fitness for a particular purpose
- Non-infringement
15. Changes to Terms
We may update these Terms from time to time. Material changes will be communicated via:
- Email, or
- Platform notification
Continued use constitutes acceptance.
16. Governing Law
These Terms are governed by the laws of England and Wales. Disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
